These Terms of Service ("Terms") govern your organization's use of the services provided by ZenWorkspace LLC ("ZenWorkspace," "we," "us," "our"), including team energy assessments, the Leader Energy Pulse, AI-powered analytics, facilitator-led Reset Sessions, and manager dashboards (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms.
If you are accepting these Terms on behalf of an organization, you represent that you have authority to bind that organization.
ZenWorkspace provides team energy intelligence tools for organizations, including:
Not medical advice. The Services are designed for organizational performance and team intelligence purposes only. ZenWorkspace does not diagnose, treat, or provide medical or clinical care of any kind. The Services are not a medical device and should not be used as a substitute for professional medical, psychological, or clinical judgment.
Risk estimates and scores generated by the Services represent directional indicators based on aggregated workforce data — not clinical assessments or precise financial calculations. The language "estimate" and "potential risk" throughout the platform reflects this distinction.
To access the Services, you must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your organization. If you are creating an account for an organization, you represent that you have authority to bind that organization to these Terms.
You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us promptly at privacy@zenworkspace.ai if you suspect unauthorized access.
When using the Services with a team, you agree to:
You are responsible for how results are interpreted and applied within your organization. ZenWorkspace provides directional intelligence — not prescriptive recommendations. Final decisions remain with you.
Unless otherwise agreed in writing, payment is due prior to service delivery. All fees are stated in U.S. dollars. Taxes, duties, or similar charges (if applicable) are your responsibility and are in addition to stated fees.
Promotional or discounted pricing applies only as expressly stated and may not apply to future periods or renewals. ZenWorkspace reserves the right to update pricing with reasonable notice to subscribing organizations.
Free-tier services (including the Leader Energy Pulse and free team scan) are provided without charge and may be modified or discontinued at any time with reasonable notice.
You may reschedule facilitated sessions with reasonable advance notice. We ask for at least 48 hours' notice where possible to allow facilitator reassignment.
ZenWorkspace may reschedule sessions due to facilitator availability, technical issues, or other operational circumstances. In such cases, we will work with you promptly to identify an alternative time that meets your needs.
Refund eligibility for cancelled sessions is subject to the terms of your specific agreement or order form. Where no separate agreement exists, refunds are evaluated on a case-by-case basis.
Our collection, use, and protection of information is governed by our Privacy Policy and Data Practices page, both of which are incorporated into these Terms by reference.

ZenWorkspace reserves the right to suspend access immediately for violations of this section.
ZenWorkspace owns all intellectual property rights in the platform, including the software, algorithms, AI models, assessment frameworks, content, and all associated documentation. All rights not expressly granted are reserved.
We grant you a limited, non-exclusive, non-transferable license to access and use the Services and your organization's aggregated reports for internal business purposes during the term of your subscription.
You retain ownership of any data you provide to us. By using the Services, you grant ZenWorkspace a limited license to process that data as necessary to deliver the Services.
ZenWorkspace may use de-identified, aggregated data — including aggregate benchmark data derived from assessments — to improve the Services and for research and benchmarking purposes. No individual or organization is identifiable in such use.
If you provide feedback, suggestions, or ideas about the Services, you grant ZenWorkspace a royalty-free, worldwide, perpetual, irrevocable license to use, incorporate, and build upon that feedback without restriction or compensation to you.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ZENWORKSPACE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. ZENWORKSPACE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.
Risk estimates, scores, and analytics generated by the Services are provided for informational and directional purposes only. They do not constitute professional advice — legal, financial, medical, or otherwise — and should not be relied upon as such.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZENWORKSPACE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES — ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES, EVEN IF ZENWORKSPACE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
In all cases, ZenWorkspace's total aggregate liability to you for any claims arising out of or related to these Terms or the Services will not exceed the amounts paid by you to ZenWorkspace in the twelve (12) months immediately preceding the claim.
Some jurisdictions do not allow exclusion of certain warranties or limitation of liability for certain types of damages. In such jurisdictions, the above limitations apply to the fullest extent permitted by law.
You agree to defend, indemnify, and hold harmless ZenWorkspace and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Services in violation of these Terms; (b) your violation of any applicable law or regulation; (c) your infringement of any third-party rights; or (d) your organization's misuse of assessment results or outputs.
Either party may terminate access to the Services upon notice if the other party materially breaches these Terms and fails to cure that breach within 30 days of written notice.
ZenWorkspace may suspend or terminate access immediately — without prior notice — in cases of: material security risk, unlawful activity, or violation of the Acceptable Use provisions in Section 7.
Upon termination, your license to use the Services ends. We will handle your data in accordance with our Privacy Policy and Data Practices. Sections that by their nature should survive termination (including Disclaimers, Limitation of Liability, Indemnification, and Governing Law) will continue to apply.
These Terms are governed by the laws of the State of Washington, USA, without regard to its conflict of law provisions. Any dispute arising out of or related to these Terms or the Services will be subject to the exclusive jurisdiction of the state or federal courts located in King County, Washington.
If you are located outside the United States, you agree to submit to the jurisdiction of those courts for the resolution of any such dispute.
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and notify subscribing organizations where appropriate. Your continued use of the Services after changes take effect constitutes your acceptance of the updated Terms.
If you do not agree to updated Terms, you should stop using the Services and contact us to discuss your options.
