Terms of Service

These Terms of Service ("Terms") govern your organization's use of the ZenWorkspace Services. By accessing or using the Services, you agree to these Terms.

1 Services

ZenWorkspace provides:

  1. ZenMeter™ team wellbeing assessment and analytics (group-level only)
  2. Therapist-validated reports and recommendations
  3. Therapist-led workshops and follow-ups

No Medical Advice. The Services are for organizational wellbeing and performance. We do not diagnose, treat, or provide medical care. ZenWorkspace is not a medical device or a covered entity; when appropriate we can act as a Business Associate under a BAA.

2 Accounts & Eligibility

You represent that you have authority to bind the organization you act for. Keep credentials secure; you're responsible for activity under your account.

3 Customer Responsibilities

  • Provide a team sponsor (manager or HR) and confirm team size (recommended 5–12)
  • Communicate clearly that participation is voluntary and anonymous, and avoid using the Services to identify individuals
  • Comply with applicable laws and internal policies

4 Pilot Program; Payment Timing

During the pilot, organizations may reserve a spot without upfront payment. We'll send a payment link before kickoff (Insight) or at scheduling (Impact). Unless otherwise agreed in writing:

  • Team Insight™: payment due prior to survey kickoff (pilot may defer until launch)
  • Team Impact™: payment due prior to workshop; remaining balances (if any) Net 15 post-workshop
  • Taxes (if any) are your responsibility
  • Any promotional pricing (e.g., Founding Teams) applies only as stated and may change for future cohorts

5 Cancellations & Rescheduling

You may reschedule with reasonable notice. We may reschedule due to therapist availability or operational issues, and will work with you on a prompt alternative time.

6 Privacy & Security

Our handling of information is described in the Privacy Policy and Data Practices, which are incorporated by reference.

7 Acceptable Use

Do not: reverse engineer, interfere with, or abuse the Services; upload malware; attempt to re-identify individuals; or use results for discriminatory decisions.

8 Intellectual Property; License

ZenWorkspace owns all platform IP. We grant you a limited, non-exclusive license to use the Services and your organization's aggregated reports for internal business purposes. You grant us a license to use your submitted content (e.g., logos) solely to provide the Services. We may use de-identified, aggregated data to improve and benchmark the Services.

9 Feedback

If you give feedback, you grant us a royalty-free, worldwide, perpetual license to use it without restriction.

10 Third-Party Services

Links to third-party sites or vendors are not endorsements. We're not responsible for their content or policies.

11 Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL ZENWORKSPACE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID OR PAYABLE BY YOU FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

13 Indemnification

You will defend and indemnify ZenWorkspace against claims arising from your misuse of the Services or violation of these Terms.

14 Suspension/Termination

We may suspend or terminate access for material breach, security risk, or unlawful activity. Upon termination, your license ends; we will handle your data per Privacy Policy and Data Practices.

15 Governing Law; Dispute Resolution

These Terms are governed by the laws of the State of Washington, USA, without regard to conflicts of law. Exclusive venue is the state or federal courts located in King County, Washington.

16 Changes to Terms

We may update these Terms; we'll post the new date above and notify customers when appropriate. Continued use after changes means acceptance.
